ABYC SGM – 4 May 2015

In reaction to recommendations by the South African Revenue Services with regards to the club’s application for an NPO number, a Special General Meeting for 4 May 2015 at 18h00 was called on 21 April 2015.

In terms of the ABYC constitution: The Executive Committee may call a Special General Meeting at its discretion, or on a requisition signed by no fewer than five (5) percent of members entitled to vote on the Register of Members of the Club and on ten (10) days written notice to members.

The purpose of the meeting was to:

  1. Add the following two paragraphs under 18. FINANCE; “18.6. Income and Property: The organisation may not give any of its money or property to its members or office bearers. The only time it can do this is when it pays for work that a member or office bearer has done for the organisation. The payment must be a reasonable amount for the work that has been done.” and “18.7. Members or office bearers of the organisation do not have rights over things that belong to the organisation.”
  2. Add the following additional sentence to 23.3 under 23.DISSOLUTION; “, and these should be to another non-profit organisation that has similar objectives.”
  3. Add the following paragraph under 9. SUBSCRIPTIONS AND ACCOUNTS; “9.8. A person wishing to become a member whose membership lapsed for whatever reason, shall be obliged to settle the previous outstanding debt to the club prior to the new application being considered.”

32 members attended and made up the quorum – the number required for a quorum was 24.

Acceptance of the amendments were proposed by Ronnie Baer and seconded by Gavin Gilmer.

The quorum was asked for objections, no objections were raised and the proposals accepted unanimously.

The meeting was closed at 18h20.
